The information below is based on my research and understanding of the laws that exist as it pertains to marketing a Reg D 506(c) offering in the United States This is Part 1 of a 2 part series. Part 2 will cover best marketing practices for an International Reg S Security Token Offering. With the SEC still actively that launched in 2017, it’s become imperative that companies are fully aware of what can and can’t be done when it comes to marketing your token offering. As many of you probably already know, under rule 506(c) issuers are allowed to advertise private investments through means of ‘general solicitation’ or ‘general advertising’. Luckily for you and me, the SEC has “general solicitation” or “general advertising” under Reg D and have provided , which leaves many of today’s digital marketing tactics up to interpretation. This can quickly become daunting and also confusing for the issuer. However, the SEC does inadvertently provide some insight through Rule 502(c), giving us a list of a few examples it defines as general solicitation and general advertising: combatting fraudulent ICOs not explicitly defined the terms little guidance “any advertisement, article, notice or other communication published in any newspaper, magazine, or similar media or broadcast over television or radio.” “any seminar or meetings whose attendees have been invited by any general solicitation or general advertising.” This insight, while helpful, is still quite vague and does little to mention the usage of the internet or digital advertisements as a form of communication or “investor reach”. As someone who has just recently navigated marketing compliance for a Reg D 506(c) and Reg S STO, believe me… it can be daunting. I felt it would be helpful to provide some insight surrounding areas of your digital marketing strategy that may help provide guidance in those The areas of focus I felt would be useful are: digital grey areas. Social Media & Programmatic Advertising Messaging & Content Website & Landing Page PR & Media This was me researching guidance on marketing under 506(c) Social Media & Programmatic Advertising: With programmatic advertising and social media advertising in the crypto space newly reinstated by two of the largest online advertising companies, it’s going to be important for companies to establish a baseline operating procedure for digital advertising. With a significant background in social media, I figured I would tackle this section first. on the rise When it came to identifying potential compliance liabilities for social media advertising, I looked at three major components of any ad strategy: Who is the promotion going to reach? Where is the promotion going to be published? Content and messaging (This is so important I made a standalone section below) When it came to audience development, I knew the best place to start would be to take reasonable steps to assume the individuals I would be targeting were most likely accredited investors. This doesn’t only help make sure that your promotion is going to someone who may potentially become an investor, it also helps with investor compliance. Unlike 506(b) which allows up to 35 non-accredited investors who meet the sophistication requirements to participate as investors, 506(c) allows ZERO. It requires the company to conduct a thorough investor verification to ensure that each investor is accredited. If you’re this far, I assume you already know the SEC requirements to be considered an accredited investor. Now remember, just because you might be over the SEC hurdle, each advertising channel has its own terms of service and you’re bound to those as well. It’s important to understand each platform’s stance on advertising as it relates to soliciting investments and also their stance on cryptocurrency since there is some foundational overlap between ICOs and STOs. || || || Twitter Ad Policy Facebook Ad Policy Google Ad Policy Linked In Ad Policy Please note that Twitter has previously banned people who solicit crypto and LinkedIn has flat-out banned it. Social Media Ads, whether it’s on Facebook or Google, that will utilize targeted audiences, are OK. When developing your audience, it’s important to be sure that the foundational elements of this audience, like accredited investor income and asset requirements defined by the SEC, are taken into consideration. This can be achieved by targeting individuals based on census data like income, net worth, liquid assets, or spending. It also helps to refine interest and behavioral data for your audience to better reflect accredited investors only. This could be based on widely available information or detailed research. My Best Practice: When it comes to TV, luckily 502(c) addresses it as an acceptable form of advertising which means this portion of your programmatic advertising campaign is covered. However, programmatic also spans across streaming services and other online ad platforms where the communications may be considered digital marketing. I would apply the same rules as social media to programmatic. However, since your content will mainly be video, it will be important to ensure compliance through your messaging which I touch on below. I am not as versed with pay-per-click (PPC) but after an inquiry with someone who has significant expertise, it’s safe to say the same rules would also generally apply to any sort of display or PPC campaigns. SOCIAL MEDIA ANIMATION GIF BY DENNIS MOORE Messaging & Content After diving further into my SEC interpretations research, it became apparent that limiting the audience wasn’t going to be enough to ensure our ads were as compliant as possible. When I began to look at content and general solicitation I found something interesting. When it comes to investor communications the SEC obviously has a strong stance on “factual information.” They also don’t consider factual information that is disseminated from your company during your offering to be considered general solicitation. This is great because that means there is really no limit on the ads you run surrounding factual company information. So what’s allowed? The SEC considers factual information to be accurate information about the issuers: Business Financial Condition Products or Services (+ advertisements of these products and services should they not include information about your offer) This can allow individuals creating promotions to leverage all their companies forward momentum in their advertising campaign (as long as the information is factual!) So you might be thinking “okay that’s fine, investors obviously care about those things, but what about my IDEA!” Another helpful safe harbor provided by the SEC comes under . This rule suggests that issuers may publicly publish forward-looking statements as they relate to projections of the issuer’s revenues, income (loss), earnings (loss) price per share, and also statements about management’s plans and objectives for future operations, including plans or objectives relating to the products or services of the issuer. This can allow your publications, promotions, and ads to feature content and messaging that may focus on future company plans or product offerings. Rule 168 and Rule 169 When it comes to developing content and messaging, it’s evident that common sense is going to be the best approach. The content should never suggest to potential investors any sort of guaranteed ROI or expected price per share. I also think it’s smart to tread lightly when it comes to publishing forward-looking statements as it could be interpreted as being beneficial to the future share price. My Best Practice: It’s OK for you to issue advertisements that talk about factual company advancements, new partners, fundraising announcements, new clients, projects, etc… It’s also OK to publish ads about the future developments of your company and what your timeline looks like. These sort of statements may be forward-looking so it’s important to make sure that all of your content and messaging is consistent with previously published content, ads or announcements. The information your provide in your ads and on your website is very important. Website & Landing Page Under Rule 506(c) you are not required to restrict access to your website while actively fundraising. However, if you are concurrently running an international Reg S offering alongside your Reg D offering, there may be some considerations around who can and cannot access your website. I’ll talk about that more in Part 2 of this series. Your website can provide detailed information about your STO and may also include access to supporting documentation around your company and it’s products. This all falls under the factual information guidance the SEC provides and is also one of my “common sense” areas of focus. Let’s be real, the website should NEVER have inaccurate information on it if it’s for a legitimate business with a legitimate product or service. One thing to keep in mind though is that since the landing page or website may be directly associated with any sort of on-going digital campaign, it makes it even more important to make sure the content that is published on the site, and any of the documentation accessible through it, is factual and accurate. Taking steps to be sure that Ads are compliant and don’t provide any misleading information shouldn’t be the only concern. The website that is receiving traffic from the campaign should always provide frequently updated, accurate and factual information about the company and the offering. Sometimes it is best to ensure that campaign-specific landing pages are used so that the information in the ad represents the information on the site My Best Practice: If a company is solely raising money in the US it would also be best to block the website from international IP addresses. However, if the company is providing services internationally, then I would suggest blocking access to pages regarding the STO. PR & Media When it comes to PR the approach I feel works best is that of a public company. The content focus should be on press releases around notable company updates and featured articles talking about the about the company, it’s products, and it’s mission. PR plays an important role in the legitimacy of any fundraising initiative as it helps provide more information about the company when potential investors start their due diligence process. It’s also important to remember that factual information isn’t just important in print or on your site. Just like in any advertisement you create, individuals of the company who may be interviewed for an article or a video interview should always actively avoid making broad statements to questions that may or may not be related to fundraising or investing activities. This is best to consult with your lawyer about and have your PR representative present so they can develop a rubric for answering certain questions. Stick to the facts. If the company is naturally making great progress and the team and business are expanding, talk about that. People are more interested in the learning about the stability of the company, the individuals who are leading the teams, and what the company is working on next. Try to avoid any sort of soft selling when it comes to PR strategy. Information about the STO or a press release about securing funding is fine, but let your achievements and progress sell the company for you. My Best Practice: I know that a lot of this information may only scratch the surface when it comes to navigating the digital marketing landscape for a Reg D offering. When it comes to marketing and advertising a security token offering under Reg D 506(c), the most important thing to do is to take a very common sense approach to your communications. Things that can’t be corroborated through officers of the company or factual information shouldn’t be shared or leveraged to persuade an investor to invest. Hopefully, as you begin to put together your advertising strategy for your 506(c) offering, this information above can help provide some guidance on how to handle your digital promotions and ensure SEC compliance in your solicitation of investors. Issuer Guidance on How to Market a Security Token Offering in the United States Under Reg D 506(c)

Through its public representations, Meta has created the false impression that Facebook and Instagram are safe Platforms on which users rarely encounter harmful content. [Redacted] 459. In the face of criticism from parents, experts, and policymakers that its Social Media Platforms are harmful for young users, Meta has endeavored to persuade its users and the broader public that its Social Media Platforms are safe and suitable for young users. 460. To that end, Meta regularly publishes Community Standard Enforcement Reports (CSER or Reports) that boast very low rates of its community standards being violated [Redacted] 461. The Reports, published quarterly, describe the percentage of content posted on Instagram and Facebook that Meta removes for violating Instagram and Facebook’s Community Standards or Guidelines. Meta often refers to that percentage as its “prevalence” metric. 462. Meta often amplifies the reach of the Reports and its “prevalence” metrics by announcing them through press releases, distributing them in advance to members of the press, and holding conference calls with the press to tout their release. 463. Meta has publicly represented that the “prevalence” statistics in the Reports are a reliable measure of the safety of its Social Media Platforms—even going so far as to assert that the CSER “prevalence” numbers were “the internet’s equivalent” of scientific measurements utilized by environmental regulators to assess the levels of harmful pollutants in the air. For example, in a May 23, 2019 post on its website entitled “Measuring Prevalence of Violating Content on Facebook,” Meta stated the following: One of the most significant metrics we provide in the Community Standards Enforcement Report is prevalence. . . . We care most about how often content that violates our standards is actually seen relative to the total amount of times any content is seen on Facebook. This is similar to measuring concentration of pollutants in the air we breathe. When measuring air quality, environmental regulators look to see what percent of air is Nitrogen Dioxide to determine how much is harmful to people. Prevalence is the internet’s equivalent — a measurement of what percent of times someone sees something that is harmful. [Second emphasis added.] 465. Zuckerberg told Congress on March 25, 2021 that Meta’s “prevalence” numbers serve as a “model” for companies’ transparency efforts. 466. The Reports are intentionally used by Meta to create the impression that because Meta aggressively enforces its Community Standards—thereby reducing the “prevalence” of community-standards-violating content—Meta’s Social Media Platforms are safe products that only rarely expose users (including young users) to harmful content and harmful experiences. 467-471. [Redacted] 472. Nevertheless, Meta publicly represents that Instagram and Facebook are safe because Meta enforces its Community Standards. 473. For example, the third quarter 2019 Report touts Meta’s “Progress to Help Keep People Safe.” Likewise, the second quarter 2023 Report states that “[w]e publish the Community Standards Enforcement Report . . . to more effectively track our progress and demonstrate our continued commitment to making Facebook and Instagram safe.” 474. Each of the Reports—whether they contain an express representation about safety—create the net impression that harmful content is not “prevalent” on Meta’s Platforms and that the Platforms are therefore safe for users, including young users. 475-479. [Redacted] 480. The impression that the Reports create—that Meta’s Platforms are safe and users only rarely encounter harmful content—is false and misleading. 481. Meta’s third quarter 2021 Report estimated that on Instagram, “less than 0.05% of views were of content that violated our standards against Suicide & Self-Injury.” That representation created the impression that it was very rare for users to experience content relating to suicide and self-injury on Instagram. 482. In other words, while a reader of the CSER Reports could reasonably understand that self-harm content on Instagram is rarely encountered by users—far less than 1% of the time— [Redacted] 484-489. [Redacted] 490. The third quarter 2021 Report concluded that only “0.05-0.06%” of views on Instagram were of content that violated Meta’s standards on bullying and harassment. This representation created the impression that it was very rare for users to experience bullying or harassment on Instagram. 491-497. [Redacted] 498. Coti is company that purports to provide a digital infrastructure for payments, co-founded by Samuel Falkon and David Assaraf. Shahaf Bar-Geffen is Coti’s CEO. The Coti website, www.coti.io, is operated by Coti (BVI) Limited, a company incorporated and registered in the British Virgin Islands. 497. On June 4, 2019 Coti conducted an IEO on a crypto asset trading platform for approximately 46 million COTI, raising approximately $3 million. Coti has a maximum supply of two billion COTI. 498. COTI has been available for buying, selling, and trading on the Binance.com Platform since February 2020, and the Binance.US Platform since April 2022. 499. The information Coti publicly disseminated has led COTI holders, including those who have purchase COTI since February 2020, reasonably to view COTI as an investment in and to expect to profit from Coti’s efforts to grow the Coti protocol, which, in turn, would increase demand for and value of COTI. 500. For example, in a May 28, 2019 Medium post Coti stated that the purpose of the upcoming IEO was “to ensure an effective launch,” and that the IEO “enable[s] us to amplify our community base and to generate greater visibility and liquidity measures.” 501. In that post, Coti also stated that the Coti team was allocated 15% of the total COTI supply and advisors were allocated 10% of the total COTI supply. Coti further noted that “[t]eam tokens have a minimum six-month lockup and are released over a 24-month period” and that “[a]dvisor tokens are locked for a 6-36-month period.” 502. Moreover, the webpage announcing the June 4, 2019 IEO disclosed a so-called “private” sale allocation of 10.01% of the total COTI supply at $0.08 per COTI, and a so-called “seed” sale allocation of 2.87% of the total COTI supply at $0.06 per COTI. 503. On that date Coti also published a Medium post entitled, “COTI’s IEO [] creates buying frenzy,” touting COTI’s “trading volume hit $1M USD within 30 minutes of launching,” and that COTI’s “price sprinted over 10 times the opening value twice and stalled at a peak appreciation of x18.” 504. The “Purchase Agreement” for the IEO stated that “proceeds from the Token Sale will be deployed to fund the development of the COTI Project, for the development of the COTI technology and the COTI eco-system.” 505. Coti posted a number of “Meet the COTI Team” Medium blog posts, including one from April 2022 highlighting its COO. In the post, the COO stated: “COTI has one of the best (probably THE best) teams in the world”; that “we are continuing to build this special DNA and culture of excellence”; and that his aim was to “keep improving current processes and to bring the most optimized communication tools into all of COTI’s different departments, which [he] believed is bound to make it more successful!” 506. Another Coti “Meet the COTI Team” post in October 2022 highlighted Coti’s Talent Acquisition Manager. The Talent Acquisition Manager stated that since she started at Coti, she had “managed to double the amount of employees from the entire range of departments like R&D, Marketing, research and more,” and that because “[t]he Crypto industry is a fiercely competitive one … every company needs the best talents for them to stand out in the industry.” 507. In public statements on social media, as well as in Medium posts and posts on its website, Coti has described the efforts that this team and team members made and would continue to make to develop the Coti blockchain and attract users to the technology. 508. For example, in a January 2023 Medium post outlining its plans for 2023 and beyond, Coti claimed that it is “uniquely optimized to solve challenges around payments,” stated that it will “continue to gain more traction with more enterprises,” and said that it “plan[s] on expanding.” It also stated that its “ecosystem of [COTI] holders will continue to benefit from the network’s success by engaging with our Treasury app” with “new and innovative features geared toward the growth of value captured.” 509. The Solana blockchain was created by Solana Labs, Inc. (“Solana Labs”), a Delaware corporation headquartered in San Francisco that was founded in 2018 by Anatoly Yakovenko (“Yakovenko”) and Raj Gokal (Solana Labs’ current CEO and COO, respectively). According to Solana’s website, www.solana.com, the Solana blockchain is a network upon which decentralized apps (“dApps”) can be built, and is comprised of a platform that aims to improve blockchain scalability and achieve high transaction speeds by using a combination of consensus mechanisms. 365. According to Solana’s website, SOL may be “staked” on the Solana blockchain to earn rewards, and a certain infinitesimal amount of SOL must be “burned” to propose a transaction on the Solana blockchain, a common function for native tokens on blockchains that constitutes a method for cryptographically distributed ledgers to avoid a potential bad actor from “spamming” a blockchain by overwhelming it with an infinite number of proposed transactions. 366. Between May 2018 and early March 2020, Solana Labs filed with the SEC multiple forms claiming that its offers and sales of securities—what Solana described in those forms as the “sale and issuance of rights to receive Solana Labs, Inc. tokens in the future via a Simple Agreement for Future Tokens (SAFTs)”—were exempt from registration under Rule 506(c) of Regulation D under the Securities Act. Through these offers and sales of securities, Solana sold approximately 177 million SOL, raising over $23 million. 367. Later in March 2020, Solana Labs conducted additional SOL sales on the CoinList trading platform (www.coinlist.co) in a “Dutch auction” (wherein investors place bids and the entire offering occurs at the price with the highest number of bidders). During this offering, Solana Labs sold approximately 8 million SOL, at an average price of $0.22 per SOL, raising approximately $1.76 million. In August 2021, Solana Labs completed another, purportedly private sale of SOL, raising over $314 million from investors, each of whom paid for SOL with fiat currency and was required to sign a purchase agreement. 368. Beginning in February 2020, Solana Labs took steps to make SOL available for trading on crypto asset trading platforms. For example, in a September 17, 2020, Twitter post, Solana Labs stated: “The Solana community in the United States has been eagerly awaiting the chance to trade SOL on a U.S. exchange, and now that day has come. SOL/USDT, SOL/USD, and SOL/BTC pairs are all open for trading on @ftx_us.” In another Twitter post later the same day, Solana Labs stated: “@BinanceUS announces Support for SOL, making it the Second US Exchange to list SOL within one day.” 369. SOL has been available for buying, selling, and trading on the Binance.US Platform since September 2020, and the Binance.com Platform since April 2020. 370. The information Solana Labs publicly disseminated, including since the initial sales of SOL, led SOL holders, including those who purchased SOL since September 2020, reasonably to view SOL as an investment in and expect to profit from Solana Labs’ efforts to grow the Solana protocol, which, in turn, would increase the demand for and value of SOL. 371. Solana Labs stated publicly that it would pool the proceeds from its private and public SOL sales in omnibus crypto asset wallets that it controlled, and that it would use those proceeds to fund the development, operations, and marketing efforts with respect to the Solana blockchain to attract more users to that blockchain (potentially increasing the demand for, and therefore the value of, SOL itself, given the need for those who wish to interact with the Solana blockchain to tender SOL). For example, in connection with the 2021 private sale of SOL, Solana Labs stated publicly that it would use investor funds to: (i) hire engineers and support staff to help grow Solana’s developer ecosystem; (ii) “accelerate the deployment of market-ready applications focused on onboarding the next billion users into crypto”; (iii) “launch an incubation studio to accelerate the development of decentralized applications and Platforms building on Solana”; and (iv) develop a “venture investing arm” and “trading desk dedicated to the Solana ecosystem.” 372. As Solana Labs stated publicly, of the 500 million SOL tokens initially minted, 12.5% were allocated to Solana Labs’ founders, including Yakovenko and Gokal, and another 12.5% were allocated to the Solana Foundation, a non-profit organization headquartered in Zug, Switzerland “dedicated to the decentralization, growth, and security of the Solana network.” In fact, on April 8, 2020, Solana Labs transferred 167 million SOL tokens to the Solana Foundation, and in its public announcement of the Solana Foundation’s formation, Solana Labs stated, “The Foundation’s initial focus is expanding and developing the ecosystem of the Solana protocol.” 373. Solana Labs’ two original founders have worked for the Solana Foundation. Gokal currently serves as a member of the Solana Foundation Council. Yakovenko was a member and President of the Solana Foundation Council from its founding until December 2021, when he stepped down to focus on his work at Solana Labs. 374. In public statements on its website and social media pages, including statements made and available during the period when SOL was available to trade on the Binance Platforms, Solana specified its expertise in developing blockchain networks and described the efforts Solana and its founders had made and would continue to make to develop the Solana blockchain protocol and attract users to the technology, which, again, required those utilizing the technology to demand some amount of SOL. 375. Solana Labs undertook other promotional efforts to increase participation in its network and thus demand for SOL, including with: (a) a Solana podcast of which there have been at least 90 episodes since July 2019, with interviews of key Solana Labs management and other key personnel, including Yakovenko; (b) a YouTube channel with over 37,000 subscribers; and (c) dedicated Telegram, Twitter, Reddit, Solana Forums, Discord, GitHub, Meetup, and Weibo channels, with links to each available on Solana’s website. 376. The promotional statements that Solana Labs made in these fora with respect to SOL and Solana Labs’ efforts to increase demand and value for SOL included, for example: a. A July 28, 2019 post on Solana Labs’ Medium blog in which Yakovenko stated that “Solana … supports upwards of 50,000 TPS” (transactions per second) “making it the most performant blockchain and the world’s first web-scale decentralized network” and that the “Solana team—comprised of pioneering technologists from [several high-profile technology companies]—has focused on building the tech required for Solana to function with these groundbreaking performance standards”; b. Solana’s website statement that “Solana is engineered for widespread, mainstream use by being energy efficient, lightning fast, and extremely inexpensive” and that “[m]any of the core Solana builders, like co-founder Anatoly Yakovenko, have a background in building cell phone networks,” which “means that they are singularly focused on building for scalability (the ability to grow) and efficiency (the ability to get the most information across with the least amount of resources)”; c. Revamping Health & Fitness: Sweat Economy's Radical Step in Combating Global Obesity Ishan Pandey: Hi Oleg, great to have you here for our "Behind the Startup" series. Can you share with us a little about your personal journey and what led you to Sweat Economy? I’d always prided myself on my fitness. I used to run semi-professionally and managed to climb 4 out of the “7 Summits” in my thirties, but like many others, found less and less time for it as I grew older. My kids started arriving and my entrepreneurial career took off. When it got to the stage where I could hardly do a simple jog without breaking into a sweat, I knew I had to get in shape. Oleg Fomenko: Around that time, I was watching WALL-E with my son, and in the imaginary future, there were blobby people so out of shape that they were being wheeled around by forklifts. With horror, I could foresee this dystopia becoming a reality with the way that technology trends and modern society are conspiring to make us more sedentary. And you know how kids watch movies–on repeat–so on the 50th time in addition to a resolution of “losing the DVD” I also decided that I had to do something about this terrible future everyone was predicting. Over recent decades, obesity has become a bigger global health challenge than malnutrition. It’s one of the leading causes of premature death–costing taxpayers, insurance holders, and health providers many billions of dollars. I wanted to use technology to address that. That’s when I, along with Egor and Anton, my co-founders, came up with the basic idea of rewarding people for taking steps. We started to build our centralized Web2 app back in 2015. We always wanted to put it on-chain, but it was too expensive and too laborious to fork the only blockchain in existence back then–Bitcoin. So we decided to go centralized and jump back onto blockchain later when technology matured. Once we’d had the idea and had grasped the potential of Web3 and decentralization to create a true unit of value for movement – it was a matter of waiting to see which blockchains could fulfill the mass-consumer transaction volume we anticipated. Sweatcoin There weren’t any blockchain protocols that could deliver this at an affordable cost back then. When we began, there were only really Bitcoin and Ethereum operating at scale, but without the efficiencies we required. We actually met with Vitalik around 2016, and he advised that we should wait, build the product, then move over. Since then, we have been building consumer behavior through a loyalty point model in the Sweatcoin app and garnered 130M+ users. Over the last few years, we researched the capacities and infrastructure of many blockchains. At last, we have chosen to build on the NEAR Blockchain and launched our Web3 DApp Sweat Wallet in September 2022, which was the largest Web3 onboarding in history, introducing 130M+ Sweatcoin users to Sweat Wallet. We have 6.6M+ active users on Sweat Wallet to date and are still counting. Sweat Economy is the umbrella brand with the mission to make the world more physically active by rewarding physical activity through both Sweatcoin and $SWEAT the token. You’ll be able to exchange the value of your physical activity with your doctor, your insurer, your employer, your family members, etc. Ultimately, we believe that countries thinking deep enough will start accepting part of your taxes in $SWEAT because this means that you put less pressure on the healthcare system, will live longer, and therefore will have a higher economic impact on your country of residence. Ishan Pandey: Could you provide a brief overview of the recent governance vote? What prompted this vote and how do you see it shaping the future of the Sweat Economy? Recently, we let our community decide the fate of the 2B+ idle $SWEAT tokens locked in inactive users' accounts. Those inactive users have not installed and activated their Sweat Wallet since our Token Generation Event in Sep 2022. Since then, we have made more than a dozen attempts to re-engage them without any response. As these tokens are as good as gone, we left it up to the community to decide if they want to leave them as they are or whether they want to repurpose them to create value for the whole community. Oleg Fomenko: We organized this vote within the Sweat Wallet app for users to seamlessly cast their vote without any technological barriers. The vote showcased remarkable participation, with 355,506 votes recorded from June 7th, 2023, at 1 PM UTC to June 14th, 2023, at 1 PM UTC. The results of the vote revealed that 83% of voters were in favor of reclaiming the idle tokens and transferring them back to treasury for further consideration of their usage. Our governance model is founded on a one-tokenholder-equals-one-vote basis. It is a notable and groundbreaking change in the industry, as most projects give power to token holders in proportion to their holdings. This also encourages users to participate more in the decision-making process for Sweat Economy’s development, as the results will not be swayed by whales. Our vision in the mid-long term is to create a Sweat Economy DAO. This is likely to be the first DAO to have more than 100 million members. Ishan Pandey: One of the intriguing aspects of the Sweat Economy is its emphasis on health via walking, incentivized through cryptocurrency rewards. How do you perceive this approach transforming societal health norms and behaviors? Could you explore the potential ripple effects this could have on public health and our broader societal structures? The reason why we all do not exercise enough is not lack of motivation, discipline, time or money. The reason is that nature did not build us to be active. It built us to survive. And this means that we optimize for preserving calories rather than spending them. There is only one way to “trick” nature into making us more active–instant gratification–and this is precisely what Move to Earn does for us. By turning steps into rewards, Sweatcoin and Sweat Wallet are built to help people subconsciously change their routines. Oleg Fomenko: A study carried out by the University of Warwick has found that Sweatcoin, which incentivizes users to exercise by offering cash rewards, can result in users increasing physical activity by up to 20 per cent. As with many things in life, the solution to the problem of sedentary behavior is not found in those New Year’s resolutions of trying to go to a gym three times a week. We know what happens to those– by the early Feb all of those people are back to their old routines. In order to deliver long-term sustained change, one needs to bring in subtle changes into everyday life. And this is what our subtle intervention motivates people to do. Ishan Pandey: Given the recent disputes between the U.S. Securities and Exchange Commission (SEC) and major cryptocurrency platforms like Coinbase and Binance, how do you see these conflicts influencing the broader cryptocurrency landscape? Could you discuss any potential repercussions for regulatory frameworks, investor trust, and the future growth of the crypto sector? Oleg Fomenko: This is a very complex topic that has no right or wrong answers. As we all know, the American legal system is precedent-based, so until some of these court cases play out nobody will know for sure what works. However, there are several points that we can make here that clearly separate our project from many others … and even most other Move-2-Earn projects out there: Our mission and goal – We are about making the world more physically active using blockchain tech, and Sweat Wallet and SWEAT token are just the tools to create that motivation to put one foot in front of another more times per day. We are not about TVL or other value metrics that you typically see founders of DeFi protocols and dApps focusing on. In addition, our Sweatcoin community in the US has been really pushing us hard to bring in Sweat Wallet and SWEAT to them as they feel alienated and isolated from the rest of the world. And let's face it: the US suffers from some of the highest obesity rates in the world, so making Americans more active is a good thing that they themselves demand from us, so making americans more active is clearly a good thing that they themselves demand from us. Users earn SWEAT by walking– as a project, we are rewarding people with SWEAT for the steps they take. There is no need to buy an NFT to earn or to invest into the token before you can participate. Sweat Economy’s token - SWEAT - is YOUR physical activity tokenized and this is why it is seen as valuable by our users. Ishan Pandey: With blockchain technology increasingly being adopted across industries, what trends do you foresee in the coming years, particularly within the health sector? This is a brilliant question. I see a whole raft of changes that will come. Some of them will have to happen if we want it or not and some I am welcoming with my open arms. Oleg Fomenko: As the industry scales and becomes bigger we all collectively will have to clean up our act. How many times do I hear about projects being scammed and projects not reporting this to law enforcement and to forensics? This type of behavior encourages crooks and thieves to operate in our domain without punishment and it damages the image of the whole industry. We need to weed these crooks out from our ranks all together. Focus of the industry will shift increasingly towards mass-market - millions of users with smaller balances instead of chasing liquidity of a finite number of “whales.” Why am I confident of this shift? Because all the economics in blockchain are linked to activity, not TVL or transaction value. It costs you the same amount of ETH to transfer 1 dollar or 1,000,000,000 dollars in one transaction, so those protocols and projects that understand this will win. Those that will continue chasing a “vanity metric” of TVL will find it hard to scale. In general, how can the growth come when all the whales who can play are already in, and the growth will come from attracting hundreds of millions of retail and institutional investors, of course. Many projects think of the latter, very few about the former, and this is where the opportunity lies. Regulation will come if we want or not and we should welcome it. Since we are still not able to self-regulate and do not weed out crooks and thieves ourselves we have to expect that someone will and it is a good thing for the whole industry. After all, the second biggest concern for the average person curious about crypto is “every day I read about hacks and scams. How do I know that I will not fall the victim of them?” We need to sort this out asap and regulation, and thoughtful regulation will help. Shift of focus to better UX and user-driven development. Like Web2 in the late 90s, Web3 will have to shift its focus onto making products easier to use and easier to understand. New users are not going to bother with all the complexity we have created for ourselves over the years. Let's not let this complexity hold us back!

One major reason that scholars and institutions are using CC licenses is the ease of applying them to creative works. The Directory of Open Access Journals(DOAJ), which is regarded as “both an important mode of discovery and marker of legitimacy within the world of open access publishing,” now recommends CC licenses as a best practice.[14] DOAJ explicitly encourages scholars to use Creative Commons’“simple and easy” license chooser tool. Indeed, the Creative Commons website provides scholars and institutions a very user-friendly way to select and apply a license to copyrightable works.[15] Anyone can place a CClicense on a work by copying and pasting from its website. However, this oversimplified process of handling intellectual property rights of creative works may mislead both copyright owners and copyrighted works users to overlook pitfalls of this free license, including unintentional copyright and other intellectual property rights infringements. More specifically, one prominent legal formality of CC licenses is that licensees do not need to pay to register with Creative Commons to apply a CC license. As indicated by Creative Commons website, a CC license is legally valid as soon as a user applies it to any material the user has the legal right to license. Creative Commons also does not “require registration of the work with a national copyright agency.”[16] While copyright protection is automatic the moment a work is created and “fixed in a tangible form,” there are various advantages to register copyrighted works through the United States Copyright Office to establish a public record of the copyright claim.[17] One foremost important advantage of copyright registration is that copyright owners can file an infringement suit of works of U.S. origin in court. Actually, filing a registration before or within five years of publishing a work will actually put the copyright owner in a stronger position in court to validate the copyright.[18] Additionally, copyright registration enables one to get awarded statutory damages and attorney’s fees and to gain protection against the importation of infringing copies.[19] The emphasis on a free-to-use license along with the lack of clarification of the functions of copyright registration on the website of Creative Commons may not only mislead scholars to ignore important legal formalities within the copyright law, but also increase the abuse of original materials by stakeholders such as predatory publishers. One example is how the Integrated Study of Marine Mammalsrepackaged existing articles taking advantage of the Creative Commons licenses used by PLOS ONE, which has been publishing articles on digital humanities.[20] The oversimplified process of using CC licenses advocated by Creative Commons website may also prevent licensors from double-checking or clarifying if they have the legal right to license a work. In 2013, Persephone Magazine, which used an image with a Creative Commons license, was later sued for $1,500 for using it. It turned out the photo did not belong to the person who uploaded it with a CC license, which led to 73 companies who used it being sued. Persephone Magazineclaimed that $1,500 was more than its entire advertising revenue for the year and it had to ask its users to donate just to keep the site going.[21] Therefore, scholars of digital humanities projects, which usually include different types of content such as artworks and photographs, should be wary of using CC licensed images. Otherwise, a freely available license might end up costing a scholar unexpected money and energy. In the meantime, when deciding to put their projects under CC licenses or to publish their works ina journal that requires CC licenses, scholars should also be reminded to make accurate and clear copyright statements to prevent innocent infringements of other copyright owners’ works. For example, a team of art historians who create an online map of architectures in Ancient China are very likely to use and critique other people’s images in digital projects under fair use. These digital humanists should cite image sources and clarify the scope of the CC license that they apply to their project. It is understandable that in order to promote an open, sharing culture, the application of a CC license is intentionally designed to be simple and free by Creative Commons to fulfill its mission. However, the misuse of a free license can lead to false licenses and more innocent infringements and ultimately costs. Academic librarians should become aware of these pitfalls and provide more in-depth training on CC licenses to scholars, especially by collaborating with campus centers of digital humanities or language and literature faculty as well as other institutional research support departments as suggested by Fraser and Arnhem.[22] NOTES 1.
