The path to an ecosystem for the biggest players is obvious: acquiring their financial service providers and creating proprietary in-house solutions that would be tailored to the company’s internal systems and demands from the start. This was the strategy pursued by major retailers like and . In a lower league, the need for seamless solutions is satisfied by cooperation with BaaS providers to create an embedded finance experience for customers. Classic banks own and operate the entire value chain, from the banking license to engaging end-user B2B and B2C customers. In BaaS, the value chain is split between partnering companies, enabling them to focus on what they do best and make profits from it. There are (and an infinite number of blends between them) of BaaS services: Walmart IKEA four major models offer their banking licence and products, operations, and/or technology for use by aggregators, other banks, and non-financial companies. One example of this model is Uber, offering its proprietary debit card to new drivers and delivery partners. With this card, they can instantly use money paid for the journeys they performed. Also, they can benefit from cashbacks and incentives from Uber partnering vendors. Another example is SoFi which offers investment products as well as loans in one financial super app. Also, clients can opt for a debit card issued by Bancorp to complete their finance management package. Providers benefit from BaaS by offering banking services to customers of distributor partners, scaling existing assets, and generating incremental revenue at a minimal cost. Providers act like Providers, but also lend their capabilities to other vendors to compose a complete out-of-the-box solution. Shopify is one example of this model, integrating small businesses’ accounts held at Evolve Bank & Trust with an e-commerce platform. Clients are offered debit cards and tools for monitoring their finances. Cash App by Square is another example, offering peer-to-peer payments, investment and cryptocurrency trade. Cards are offered via Marqeta and its banking partner, Sutton Bank. By aggregating other providers, provider-aggregators can offer integrated financial products, which can deepen relationships with distributors. Providers-Aggregators leverage end-customer relationships to offer unique financial services propositions. This model is employed by global players like Facebook, Amazon, and eBay to integrate financial services into marketplaces and ecosystems; by Xero and Shopify to offer B2B services; by retail giants like IKEA, Macy’s and Walmart to offer point-of-sale lending, loyalty programs and co-branded financial services. Finally, it enables players like Wealthfront and Aspiration to offer digital banking and niche fintech services. In this model, providing banking services creates new value for customers, enabling distributor partners to strengthen their core business. Distributors enhance the propositions they distribute by adding new products or technology from multiple providers. For instance, Google Pay offers a digital wallet for conventional and online purchases as well as peer-to-peer payments. Also, it offers tools for finance monitoring and checking and saving accounts with several banking partners. The Lending Club enables small businesses to open and manage their accounts, including payment acceptance. Accounts are enabled by several fintech partners like Alloy for verification and KYC, Treasury Prime for lifecycle APIs and Marqeta for card issuance. By aggregating providers, these players offer the elevated experiences that customers are demanding; for non-financial companies this model enables them to distribute banking services without becoming a bank. Distributor-Aggregators Choosing the right model and partner The primary question is: how are you going to grow your business and what is the primary source of your income. Benefits do not distribute equally along the value chain, so it is important to find the right place in it. Most of it concentrates on the risk-bearing side of providers and on the customer-relationship side of distributors. According to , the majority of revenues from embedded-finance lending products, 55% of the $14 billion in the United States in 2021, accrued to the balance sheet provider, the firm bearing the risk of credit default. This API oriented design principle entails a few simple ideas. In this section we discuss these ideas and their apparent advantages with appropriate illustrative examples in great detail. Encapsulated model hyperparameters and inspection An unsupervised Karate Club model instance is created by using the constructor of the appropriate Python object. This constructor has a default hyperparameter setting which allows for sensible out-of-the-box model usage. AI startups have grabbed the recent headlines on exit activity. These headlines are a confluence of multiple trends, including the lack of 2016 exits, the increasing acceptance of AI as a core technology, and the largest acqui-hire in history through DeepMind. But as common as AI acquisitions have been, the understanding of the process have been and still pretty opaque. Part of the opacity is the differences per acquisition deal. Some deals will be executed quickly due to familiarity between the acquirer and acquiree (see Gnips and Twitter), and some a much longer ordeal. Some will be executed very smoothly with both sides happy, and some disappear into the sunset because of bad negotiation, timing, or players. Some force relocation of a startup into the parent company’s headquarters, and some like Pie in Singapore is the bedrock for the parent company in a new market. However, like in most things, there are patterns to be discerned. These patterns serve to provide a framework for future acquisitions to happen and to smooth the way for future processes. This framework serves to guide and should improve over time. There are four distinct elements of how an acquisition is priced. These elements are interrelated and the ultimate price may be a factor of one, or all four, of these elements. For clarity, acquisitions of public companies are not considered, since they are already priced by market forces. Furthermore, these four elements are in the order of importance, from most to least. The first element is the acquirer’s strategic intent. It is important to assess why a possible acquirer is interested, based on the factors of product, team, or the opportunity cost of not acquiring. In some cases, the motive behind an acquisition is for an acquirer to accelerate development in a product, with human resources that are not currently available within the acquirer’s company. Thus, it is cheaper to acquire a startup that has been developing in the space than to organically build a team from nothing or divert resources from other products. The second element of an acquisition is product, or the core tech and algorithms, in the case of AI startups. Oftentimes, acquirers have existing data, but have no idea how to utilize the data they have; on the other hand, AI startups have product and algorithms that effectively utilize data and can generate significant accretive value. The leverage is understanding what data is needed to generate value, find acquirers that have that data, and target acquirers that will benefit significantly from a product integration. The third element of how an acquisition is priced is the team. The team can be comprised of the following components – leadership, sales, engineering, and/or operations. Usually engineering and leadership components command the higher premiums, but this is not always the case. The leverage is that the more rare or specialised the skillset is to the acquirer (for example, Machine Learning talent), the higher the premium will be. This was the main pricing element for some of the early AI acquisitions, like DeepMind and Wit.ai. The fourth element of an acquisition deals with the users/customers. Some acquirers are willing to pay a certain price per user/customer, since organic customer acquisition cost may be even more expensive and take skillsets and time that the acquirer does not have. The leverage is that the higher customer acquisition cost is, the higher a premium an acquirer will pay. This element is a common method used for ecommerce startups where the acquirer does not have an advantage in a certain target market. Finally, startups should look upon this framework as a guide to start thinking about how to mediate what is generally an obscure process. But obtaining guidance from someone who’s gone through the process is also suggested, both from an experience perspective and as a way to bounce off questions that are specific to each deal. Caribbean countries are famous for their good living conditions - beautiful climate, nature and cheerful atmosphere. However, this is not their only advantage. Few people know, but several countries in the region were the first in the world together with China and Nigeria to issue a national digital currency - the Eastern Caribbean Dollar (XCD). It was done by the Eastern Caribbean Central Bank (ECCB), a common Central Bank for several Caribbean countries. It unites 6 independent states - St. Kitts Nevis, Grenada, Dominica, Antigua and Barbuda, St. Vincent and the Grenadines, St. Lucia and two British overseas territories - Anguilla and Montesserat. All members of the monetary union also belong to a supranational entity, the Organization of Eastern Caribbean States (OECS). Also the associated members of OECS are British Virgin Islands, Anguilla, Martinique and Guadeloupe. Investment citizenship programs Issuance of CBDC in the form of XCD is not only one thing which makes Eastern Carribean interesting for crypto community. If you search in the web information about Grenada or St. Kitts Navis, you will find ads of their passports. Indeed, most countries of the region have investment programs that allow members to get citizenship. The first country that launched it was St. Kitts Nevis in 1984. Later all other Eastern Carribean countries joined the club. Except St. Vincent and the Grenadines - there is no such program there. Investment programs for citizenship in the Eastern Caribbean are much cheaper than the gold visas of European countries. To obtain citizenship under the investment program you need to donate an amount of $100,000-$150,000 to public funds or buy real estate for $250,000 or more. Such conditions of programs in St. Lucia, Antigua, Dominica and Grenada. For a passport St. Kitts and Nevis minimal amount to donate is significantly higher - $250,000. But the latter country is famous as the place where Bitcoin Cash founder and crypto-entrepreneur Roger Ver virtually moved to in 2014 and has become St. Kitts Nevis resident. Another famous St. Kitts Nevis passport holder is Telegram founder Pavel Durov, who has invested $250,000 in country’s economy since leaving Russia in 2014. This messenger actively uses the cryptocurrency TON. What about crypto regulation? Almost all of these countries have crypto regulation and this fact makes them an interesting place to move in for crypto community. The ECCB has developed a common crypto-regulatory platform for member countries. and were the first to adopt it in 2020. St. Vincent and the Grenadines passed the in May 2022, Dominica , and St. Lucia in St. Kitts Nevis Antigua law in June 2022 December 2022. Grenada is the only one of the 6 countries of the Eastern Caribbean, where there is still no law on cryptocurrency, but in 2021 the founder of TRON and owner of HTX crypto exchange Justin Sun representative of the island state in the WTO. However, after the SEC has started a court case against Justin, Grenada recalled the ambassador. Actually Justin Sun is a citizen of Grenada too. became All these laws are similar - there is a definition of cryptocurrency and it is allowed to legally provide crypto exchange and other operations with it. There is also such a basic legal term defined by FATF AML rules for crypto as VASP (Virtual Asset Service Provider), i.e. a company that performs transactions with cryptocurrency. According to the laws adopted in each of the five countries, such companies must be registered with the local regulator and/or Financial Intelligence Unit, if they perform the following operations: Exchange between virtual currencies Exchange of virtual currency to fiat currency Storage of virtual currencies Virtual currency transfers Issue of virtual currencies (ICOs) So, if you do any business in the field of crypto and blockchain, you can think about these countries as jurisdictions for doing business. TRON and HTX are already actively doing this - they have created a special service in Dominica. It allows HTX users to remotely issue a digital identity card through the Dominica DID (decentralized identity program). Taxation By the way, I would like to elaborate on such an issue as taxation in these countries - tax rates are lower than in most EU countries and there are no taxes on investments and dividends from foreign sources. For instance, Antigua has abolished income tax in 2016, but employees of local companies and self-employed continue to pay social payments at the rate of 15%. In general, residency in any Eastern Caribbean country can seriously reduce the tax burden, especially for people receiving capital income or dividends. Based on my research, most of these countries have no capital gain tax, at least for overseas income. However, it is better to understand the details of each jurisdiction with local accountant. Visas and residence permits If you are not interested in citizenship, but would like to live in the Eastern Caribbean for a while - for example, working remotely - then 4 of these countries have the following options: Live It Program in St. Lucia Digital Nomad Visa in Antigua Grenada Digital Nomad Visa Work in Nature Program in Dominica In addition, it is possible to come to these countries without a visa for 90 days as a tourist.
