Will Open Source Get More Open in 2020? Licensing changes at Cloudera, Yugabyte, and Chef show an interest in getting more open--though it’s too soon to say it signals a broad trend that others will follow. Yet there’s still a lot to learn from each company’s motivations. I was hopeful that would jump start a broad trend towards more companies embracing the open in open source. With Cloudera and now Yugabyte making similar moves, the obvious question is: Will more OSS companies follow suit? Chef’s announcement that it was going 100% open source Probably not. Each of these announcements makes sense for the company for different reasons. But when you step back, there are a few common elements tying them together. Hortonworks and Cloudera merged after years of competing. Hortonworks was all open source and offered services and support (commonly called the Red Hat model). Cloudera was open-core, meaning is created its own proprietary code around the code of open source Hadoop. With the merger, everyone expected them to consolidate on one of the models. This hints at why they chose open: Cloudera. announcement “By investing in open source projects such as Spark, Kubernetes and Kafka, we keep our customers on a sustainable long-term architecture vs. pulling them onto an island of Cloudera-only developed tools.” Hadoop started the big data movement and seeded the ecosystem in the Apache Foundation. While the vendors that followed, like Confluent, are making code more proprietary to defend their niche, Clouders sees the opportunity to go the other way and attract wide swaths of customers that are largely satisfied by the core projects. They hope to be to data platforms what RedHat is to compute platforms. The most valuable thing an open source company can do is reach ubiquity of use. Yugabyte. In almost every case, open source companies that achieve broad universal adoption also generate meaningful financial returns. It’s like fishing in a stocked pond. Hadoop has reached that point, though may be on the decline. Yugabyte, on the other hand, is still in the early adoption stages. I think their is both validation of the value of ubiquity and acknowledgement of how much further they still have to go to achieve it. announcement that YugabyteDB will be entirely open source The company described the change as a move to full open source, though I see it as really just dialing back proprietary in favor of more open source. It is true that the YugabyteDB project, by some definition, is fully open source, but some of the code that the Yugabyte company produces is still proprietary. That said, this is a meaningful announcement. It sets a high water mark on the recent trend towards proprietary code, especially for a DB company running on public clouds. There is still a strong business rationale for a high degree of openness. I analyzed Chef’s licensing changes , but it’s worth revisiting a couple of points about Chef that are also generalizable. Chef. in a previous post Continuous integration and delivery (CI/CD) along with an increased sensitivity to security have changed how users view open source offerings. While it used to be fine to get versions of software periodically, users today expect and demand ever-updating software. Using outdated open source software is not only inconvenient, in some cases it is no longer acceptable because it can introduce security vulnerabilities. Users will pay to ensure that they are getting the latest security patches. Notice in that "the subscription agreement will cover the terms of support and maintenance, as well as access to the latest updates and security patches." Cloudera and Chef are both recognizing that there is lots of value in timely access to open source code from trusted sources (Cloudera and Chef engineers), and in some cases more value than value from add-on proprietary features. Customers wanted to pay for an open trusted core more than for an open core + add-ons. Cloudera's announcement As part of Chef’s open source transition, Chef went from monetizing product features to, among other things, monetizing its robust build pipeline through timely distributions. Chef customers get a subscription to these builds ensuring heightened security as well as the latest features. More Experimentation Ahead in 2020 We shouldn’t extrapolate from the above three announcements that we’re in a new era of more open open source. Instead, we should recognize all the signs that open source software is alive and well despite the many high-profile moves towards proprietary codebases. What is ahead then? 2019 was a year where we saw rich experimentation on the . In 2020, that experimentation will continue. But I expect we'll see a lot more open source companies really leaning in to their source distribution models as competitive differentiators for their products, in the same way traditional software companies emphasize on-prem or cloud, or vertical versus horizontal. best paths to commercializing open source software projects Open source still has its place in the enterprise.

Why Cloudera, Yugabyte, and Chef Went Open Source

There is a lot of complexity in the world of open source, yet there is also surprising commonality among governance approaches and commercialization strategies It’s been a . In April, Chef made the surprise announcement that it would make available the codebase of its entire product suite. Then in July, Cloudera with the announcement that it would open its closed source products and commit the whole company to open source, in line with Hortonworks, which it acquired earlier in the year. crazy year in open source doubled down on open source For all of the forces at work in open source, I’ve found that the viable business strategies can be distilled into just a handful of governance factors and commercialization models. This article is my attempt to formalize these commonalities into a useful taxonomy. After all, there are nuances to how a given open source project is funded and governed, and the relationship the company has with the project. All of which affect the visibility of the project (whether or not there’s marketing boost) and long-term control over the codebase and project direction. Ultimately, these are the factors that inform how successful and valuable a company will be. Let’s step through the primary governance factors then move on to the three key commercialization models. Governance Factor 1: Financing “Project-Community Fit” Key question: How is “project-community fit” funded? Incubated in an institution VC financed Bootstrapped Demonstrating traction is a prerequisite for an open source company to reach product-market fit. We might call this milestone “project-community fit.” By that, I mean, the point where a project finds a sustainable base of users. Production users will harden the offering, report and fix bugs, and provide proof-points. Contributing users are nice as well but not as critical. If the project doesn’t get there, the company has no value. If it does, the company has a chance at success. Funding the project largely boils down to two choices: VC/bootstrapped or growing the project within a company or institution. Venture investment and self-funding are self-explanatory. Founding a project within an institution or company is less common but certainly a viable path. For anyone but celebrity developers, being able to say that your project started inside Google, Uber, or LinkedIn attracts attention and lends credibility. There are many examples of successful open source projects started inside organizations like Google, LinkedIn or UC Berkeley. In fact, I’d say there is probably a better hit rate of people starting successful projects this way than pursuing an independent path from the outset. Of course, the downside here is the lack of control: Google, for example, will insist on handing off the codebase to a foundation like Apache. That decision will be made for you. Going it alone is the only way to ensure complete control from the beginning. Governance Factor 2: Long-Term Project Governance Key question: Who governs the project long term? The company or a single project foundation? Major foundation? Alongside project-community fit, long-term governance is a key consideration: Who owns the code and decides the fate of the project? You can put it in a major foundation, like Apache or Linux, or manage it yourself in a new foundation or otherwise. Putting it in a major foundation leans more “open” and lends itself to greater cross-project collaboration. It will likely give your young project a marketing boost. But it will also curtail the control you have over it and limit your monetization options. The typical alternative is to manage it yourself or create a single project foundation that you control. Governance Factor 3: The Role of Project Founders Key question: Who runs the company? Founders Committers Neither The project team’s relationship to the project itself is critical. Are the founders of the company the founders of the project? Does the company employ committers? Much of the glow that open source provides is channeled to the project founders. Having them on the team gives a marketing boost. Employing committers may give the company greater influence in the direction of the project and an insider view of where it is headed. It also reinforces the association with your company and the project. Perhaps the only draw-back is that the committers have a responsibility and passion for the project that may limit their interest in commercialization efforts. Finally, and most common, are team members that have no formal relationship to the project. While they don’t help on the marketing front, they are much easier to find and more likely to be generalists flexible enough to take the company in any direction. Three Models of Open Source Commercialization From these factors I’ve found 3 archetypes for building open source software companies. Here’s a description and illustrative examples. Model 1: Institutional This model represents cases where a big institution (company or university) develops an open source project, gives it to an established foundation, and the founders leave the first institution to start a company around it. I call it institutional because the codebase goes from a founding institution to a governing institution. This is a proven path for companies. The founding institution funds the growth of the project and provides a brand halo. The founders get to move to a startup after the open source project is validated while still keeping the founder halo and/or the governing institution halo. The downside to this approach is that you don’t control the core-code and can face commercial tension working with the governing foundations. Model 2: Independent This model represents cases in which founders create an open source project on their own or with venture backing. This is the high risk, high return model. This has the advantage of  retaining the control that can be lost from placing the project under the control of a governing institution. It can be a lot of work to bootstrap a project, but if it works, you stay in control of the codebase and own the brand/trademarks of the company and project. Most of the examples in the table below have in the last year or so, something that can’t be done for foundation-donated code. All of these projects have named their company the same as the project, which isn’t true of the Institutional examples above. It can be hard to build the brand as you don't have the halo of the founding institution. But once you do, it is all yours. changed open source licensing *In many cases the first project releases were before a company formed, but it is the closest thing to the founding institution. Also, in many cases companies changed names between formation and today, but we’ll use today’s names for consistency. Model 3: Co-Opt This model represents the many cases of companies founded by co-opting an existing open source project. Even if you haven’t created an open-source project, you can create a company around one. This is a newer model that is less proven but certainly promising. There are a bunch of great open source communities in which, for whatever reason, the founders aren’t in a position to or interested in pursuing commercial development. Here, you don’t get any halos, but you are able to skip the work of building a community -- just join a thriving one and commercialize it. I’m curious to watch how these companies play out. The founder halo is extremely valuable in commercializing something that is otherwise already free, but cloud and SaaS models give additional opportunity to extend value. Open Source Has Fostered Many Successes No one said that wearing the two hats of project founder and CEO would be easy. There is endless tension between the democratic spirit of open source and the many attempts to build successful companies on open source projects. Yet just look to a Chef or a MongoDB to see that it is indeed possible to turn open source into commercial success. Recognizing the commonality shared by these success stories can be useful for any founder seeking to grow a company using an open source approach to its codebase. Rather than obsessing over the market and whether there’s a newly pumped-up bubble or not, you may well be a lot better off taking a step back; giving yourself the chance to ask not whether the price of Snap, Cloudera, or Alfa Financial Software is sensible, but whether — as an investor — it’s sensible for . you If you look at five poorly performing tech stocks, their declining values probably have much more to do with their individual business strategies than market conditions generally . Prices are indication of what the market is prepared to pay for shares in a business at any one particular point in time. More importantly yet, prices signal the value an acquirer feels it can extract from an acquisition target. So, rather than trying to look outside of your company to find the value of a startup target, look inside first. That is because prices don’t exist in isolation Tech is a fast-moving world, and so are the stories This latest round of hysteria started with about a string of startups who are, potentially, floating on the stock market at a price below their pre-IPO valuations. Cloudera was cited as the first tech unicorn to go public at a value “significantly” below its private valuation. That is usually because a company’s individual strategy has succeeded or failed, its revenues are growing or shrinking against expectations, or its outlook is positive or negative. Companies fluctuate in price — and value — all the time For every company you can find whose valuation declined after going public, you can probably find another one that rose , and draw much bigger, wider conclusions — especially about an industry as diverse and broad as the technology sector. If you look at five poorly performing tech stocks, their declining values probably have much more to do with their individual business strategies than market conditions generally. It’s very difficult, if not impossible, to extricate the individual circumstances of company valuations For every company you can find whose valuation declined after going public, you can probably find another one that rose. Facebook is a case in point. Since its float in 2012 at a peak market capitalisation of about $100bn, it has increased in value more than fourfold. Currently its market capitalisation is over $430 billion. At the time it floated, you could find a lot of scare stories about the tech bubble and how Facebook was yet another example of an overvalued tech company that would eventually collapse. Five-year view of Facebook’s price on the NASDAQ (source: Google Finance) The same reaction took place when it announced it was acquiring Instagram for $1 billion. How very wrong they were. It’s natural to see price jumps when going from private to public You also hear a lot about private tech companies’ valuations jumping about all over the place. This volatility, we may think, is a signal that something is not quite right in the market. So, perhaps, it’s not that Cloudera’s price has declined, but that it has declined by so much so quickly. But that’s not clear either. . This is not volatility. It’s not even really correct to call it a “price jump” at all. It’s natural to see price jumps when a company is private, or goes from private to public , such as capital raises, acquisitions, or IPOs. And a very long time — usually years — can pass between these landmark events, meaning most of the time the true value of the company is hidden; whereas public companies are valued day-in, day-out on the public markets, meaning that price declines usually follow smooth downward curves. That is usually enough to explain what seems, on the surface, to be a rapid, immediate change in value. These fluctuations in price simply reflect the fact that private companies are typically valued only at landmark events The risk of scare stories, and why they truly matter The risk of all . You can see this happening in two ways. On one hand, the CFO of a major corporate might be scared off by the stories from acquiring a startup, thinking that a market correction is imminent and they could end up destroying value. On the other hand, they may sweep into the market, acquiring a startup at what they think is a bargain price without doing enough due diligence. this media noise around the price of tech startups is that it distracts strategic investors from making the right decision When a corporate is looking to invest or acquire a startup, they shouldn’t be thinking primarily about the wider market but, instead, about what value the target company will provide to them These are both wrong. This is why a target company, which may seem small or insignificant, can actually command a large valuation, and price, to the right company In retrospect Google’s acquisition of Android seems like a fantastic strategic move For example, in 2005, Google spent $50 million on a tiny company, which very few people knew about at the time and which was developing software for mobile phones well before such a thing was fashionable. It had only been in existence for 22 months. Many commentators couldn’t understand the acquisition, and accused Google of making a strategic error. What was the company? Android. It has since gone on to become the leading mobile phone operating system in the world, used on more than 1.6 billion devices around the world. While the price might have seemed high at the time, it wasn’t. . Would Android have been worth $50 million to another company? Perhaps not, but it was worth it to Google because it was a great strategic fit, and enabled Google to unleash enormous latent value. Google had a vision to bring its services to mobile — as consumers increasingly adopted handheld devices — and Android was a key rung in its strategy Almost any price can be the right price The lesson from this is that almost any price can be the right price from the right company for the right asset. Corporate investors, who are increasingly struggling to keep pace with the latest technological developments, need to look inside their own companies, develop a strategy to transform themselves for the future and then — and only then — go out to the market to find a good strategic fit, ignoring in the first instance prices, and even in some cases numbers. Prices can distract from finding the right company, which is what truly matters. The lesson from this is that almost any price can be the right price from the right company for the right asset After this company has been uncovered, then a corporate can start asking the difficult questions about value: what historic value information do we have? Can we benchmark the company against other similar competitors? And, most importantly of all, what strategic value will the acquisition unleash in my company that it wouldn’t be possible to uncap otherwise? , and agree to a price and terms that make sense with all the other value elements taken into account. If corporates can do that, they will have the best chance of finding a transformative acquisition target that works for them. Here Are 3 Reasons Cloud Initiatives Struggle and Why Repatriation Rarely Provides the Answer Traditional MSPs Lagging in the Cloud-Native Era Managed Service Providers (MSPs) critically shape cloud success. However, many MSPs remain trapped in traditional IT practices. They're accustomed to managing servers, patching security vulnerabilities, and performing routine infrastructure maintenance. Cloud-native operations, like serverless computing, container orchestration, and infrastructure automation, demand entirely different skillsets. Partnering with outdated MSPs results in high costs and low ROI while companies pay premium prices without the benefits. This is especially true of those larger cloud hosting businesses that pivoted from bare metal to cloud without sufficiently updating their core business model, leading to a high market penetration by those unable to drive real results. Success demands MSPs fluent in cloud-native practices: automation, Infrastructure as Code (IaC), and dynamic scalability. Without these capabilities, inefficiencies persist, leading businesses to blame the cloud instead of their partnerships. Companies using legacy governance models struggle to manage rapid provisioning, decentralised decision-making, and the continuous optimisation that cloud demands. Modernising governance means aligning policies and procedures with cloud capabilities, enabling agility and innovation without sacrificing control. Effective governance in the cloud era includes clear visibility, robust security tailored specifically to cloud environments, real-time cost management, and the flexibility to scale quickly. Organisations failing to update their governance frameworks find themselves mired in inefficiency and uncontrolled costs, often leading them to mistakenly blame cloud itself. The Hidden Costs of Repatriation The QA report highlights another often-overlooked problem: repatriation itself isn't cheap or easy. Returning workloads to on-premises infrastructure involves significant capital expenditures, increased staffing demands, and renewed responsibility for hardware lifecycle management and security. These hidden costs quickly add up, undermining anticipated savings. Furthermore, repatriation can stall innovation and agility–essential competitive advantages in today’s fast-moving market. So, for businesses stuck between a rock and a hard place, what is the answer? Embracing Cloud Design Principles: The Real Path to ROI Repatriation occasionally makes sense, such as for regulatory compliance or specialised technical requirements. But generally, repatriation means retreating rather than solving fundamental issues. True cloud ROI requires culturally, technologically, and organisationally embracing cloud design principles. This means designing specifically for cloud strengths – leveraging microservices,  serverless platforms, containerised architectures, scalable infrastructures, and managed services. The MACH architecture (Microservices, API-first, Cloud-native, and Headless) model is absolutely the application model of the future. Successful cloud strategies also require partnering with modern MSPs who deeply understand cloud-native operations. They are key in helping organisations without the in-house skills to ride the wave of technological development. On a governance level, adopting FinOps/GreenOps and other cloud-native governance strategies will help align organisations with the potential of cloud. Last but not least, no think piece in 2025 would be complete without a reference to the benefits of AI. However, sometimes a cliche is so because it’s the stone-cold truth. Already, AI is making huge improvements to resource management in cloud workloads - a trend that’s only set to continue. Organisations embracing these comprehensive strategies significantly reduce costs, boost operational efficiency, and accelerate innovation. Instead of retreating, businesses must reassess their cloud approach holistically – partnering effectively, designing intelligently, aligning culturally, and fully exploiting the cloud’s capabilities. The solution isn't repatriation. The solution is evolution. Aligning cloud strategies with clear business goals and genuinely adopting modern cloud practices will deliver the ROI businesses seek.
