SYNDICALISM OR CITIZENSHIP SYNDICALISM OR CITIZENSHIP "Is a railway porter a railway porter first and a man afterwards, or is he a man first and incidentally a railway porter?" That is the issue between this tawdrification of trade unionism which is called Syndicalism, and the ideals of that Great State, that great commonweal, towards which the constructive forces in our civilisation tend. Are we to drift on to a disastrous intensification of our present specialisation of labour as labour, or are we to set to work steadfastly upon a vast social reconstruction which will close this widening breach and rescue our community from its present dependence upon the reluctant and presently insurgent toil of a wages-earning proletariat? Regarded as a project of social development, Syndicalism is ridiculous; regarded as an illuminating and unintentionally ironical complement to the implicit theories of our present social order, it is worthy of close attention. The dream of the Syndicalist is an impossible social fragmentation. The transport service is to be a democratic republic, the mines are to be a democratic republic, every great industry is to be a democratic republic within the State; our community is to become a conflict of inter-woven governments of workers, incapable of progressive changes of method or of extension or transmutation of function, the whole being of a man is to lie within his industrial specialisation, and, upon lines of causation not made clear, wages are to go on rising and hours of work are to go on falling.... There the mind halts, blinded by the too dazzling vistas of an unimaginative millennium And the way to this, one gathers, is by striking—persistent, destructive striking—until it comes about. Such is Syndicalism, the cheap Labour Panacea, to which the more passionate and less intelligent portion of the younger workers, impatient of the large constructive developments of modern Socialism, drifts steadily. It is the direct and logical reaction to our present economic system, which has counted our workers neither as souls nor as heads, but as hands. They are beginning to accept the suggestions of that method. It is the culmination in aggression of that, at first, entirely protective trade unionism which the individual selfishness and collective short-sightedness and State blindness of our owning and directing and ruling classes forced upon the working man. At first trade unionism was essentially defensive; it was the only possible defence of the workers, who were being steadily pressed over the margin of subsistence. It was a nearly involuntary resistance to class debasement. Mr. Vernon Hartshorn has expressed it as that in a recent article. But his paper, if one read it from beginning to end, displayed, compactly and completely, the unavoidable psychological development of the specialised labour case. He began in the mildest tones with those now respectable words, a "guaranteed minimum" of wages, housing, and so forth, and ended with a very clear intimation of an all-labour community. If anything is certain in this world, it is that the mass of the community will not rest satisfied with these guaranteed minima. All those possible legislative increments in the general standard of living are not going to diminish the labour unrest; they are going to increase it. A starving man may think he wants nothing in the world but bread, but when he has eaten you will find he wants all sorts of things beyond. Mr. Hartshorn assures us that the worker is "not out for a theory." So much the worse for the worker and all of us when, like the mere hand we have made him, he shows himself unable to define or even forecast his ultimate intentions. He will in that case merely clutch. And the obvious immediate next objective of that clutch directly its imagination passes beyond the "guaranteed minima" phase is the industry as a whole. I do not see how anyone who desires the continuing development of civilisation can regard a trade union as anything but a necessary evil, a pressure-relieving contrivance an arresting and delaying organisation begotten by just that class separation of labour which in the commonweal of the Great State will be altogether destroyed. It leads nowhither; it is a shelter hut on the road. The wider movement of modern civilisation is against class organisation and caste feeling. These are forces antagonistic to progress, continually springing up and endeavouring to stereotype the transitory organisation, and continually being defeated. Of all the solemn imbecilities one hears, surely the most foolish is this, that we are in "an age of specialisation." The comparative fruitfulness and hopefulness of our social order, in comparison with any other social system, lies in its flat contradiction of that absurdity. Our medical and surgical advances, for example, are almost entirely due to the invasion of medical research by the chemist; our naval development to the supersession of the sailor by the engineer; we sweep away the coachman with the railway, beat the suburban line with the electric tramway, and attack that again with the petrol omnibus, oust brick and stonework in substantial fabrics by steel frames, replace the skilled maker of woodcuts by a photographer, and so on through the whole range of our activities. Change of function, arrest of specialisation by innovations in method and appliance, progress by the infringement of professional boundaries and the defiance of rule: these are the commonplaces of our time. The trained man, the specialised man, is the most unfortunate of men; the world leaves him behind, and he has lost his power of overtaking it. Versatility, alert adaptability, these are our urgent needs. In peace and war alike the unimaginative, uninventive man is a burthen and a retardation, as he never was before in the world's history. The modern community, therefore, that succeeds most rapidly and most completely in converting both its labourers and its leisure class into a population of active, able, unhurried, educated, and physically well-developed people will be inevitably the dominant community in the world. That lies on the face of things about us; a man who cannot see that must be blind to the traffic in our streets. Syndicalism is not a plan of social development. It is a spirit of conflict. That conflict lies ahead of us, the open war of strikes, or—if the forces of law and order crush that down—then sabotage and that black revolt of the human spirit into crime which we speak of nowadays as anarchism, unless we can discover a broad and promising way from the present condition of things to nothing less than the complete abolition of the labour class. That, I know, sounds a vast proposal, but this is a gigantic business altogether, and we can do nothing with it unless we are prepared to deal with large ideas. If St. Paul's begins to totter it is no good propping it up with half a dozen walking-sticks, and small palliatives have no legitimate place at all in this discussion. Our generation has to take up this tremendous necessity of a social reconstruction in a great way; its broad lines have to be thought out by thousands of minds, and it is for that reason that I have put the stress upon our need of discussion, of a wide intellectual and moral stimulation of a stirring up in our schools and pulpits, and upon the modernisation and clarification of what should be the deliberative assembly of the nation. It would be presumptuous to anticipate the National Plan that must emerge from so vast a debate, but certain conclusions I feel in my bones will stand the test of an exhaustive criticism. The first is that a distinction will be drawn between what I would call "interesting work" and what I would call "mere labour." The two things, I admit, pass by insensible gradations into one another, but while on the one hand such work as being a master gardener and growing roses, or a master cabinet maker and making fine pieces, or an artist of almost any sort, or a story writer, or a consulting physician, or a scientific investigator, or a keeper of wild animals, or a forester, or a librarian, or a good printer, or many sorts of engineer, is work that will always find men of a certain temperament enthusiastically glad to do it, if they can only do it for comfortable pay—for such work is in itself living—there is, on the other hand, work so irksome and toilsome, such as coal mining, or being a private soldier during a peace, or attending upon lunatics, or stoking, or doing over and over again, almost mechanically, little bits of a modern industrial process, or being a cash desk clerk in a busy shop, that few people would undertake if they could avoid it. And the whole strength of our collective intelligence will be directed first to reducing the amount of such irksome work by labour-saving machinery, by ingenuity of management, and by the systematic avoidance of giving trouble as a duty, and then to so distributing the residuum of it that it will become the whole life of no class whatever in our population. I have already quoted the idea of Professor William James of a universal conscription for such irksome labour, and while he would have instituted that mainly for its immense moral effect upon the community, I would point out that, combined with a nationalisation of transport, mining, and so forth, it is also a way to a partial solution of this difficulty of "mere toil." And the mention of a compulsory period of labour service for everyone—a year or so with the pickaxe as well as with the rifle—leads me to another idea that I believe will stand the test of unlimited criticism, and that is a total condemnation of all these eight-hour-a-day, early-closing, guaranteed-weekly-half-holiday notions that are now so prevalent in Liberal circles. Under existing conditions, in our system of private enterprise and competition, these restrictions are no doubt necessary to save a large portion of our population from lives of continuous toil, but, like trade unionism, they are a necessity of our present conditions, and not a way to a better social state. If we rescue ourselves as a community from poverty and discomfort, we must take care not to fling ourselves into something far more infuriating to a normal human being—and that is boredom. The prospect of a carefully inspected sanitary life, tethered to some light, little, uninteresting daily job, six or eight hours of it, seems to me—and I am sure I write here for most normal, healthy, active people—more awful than hunger and death. It is far more in the quality of the human spirit, and still more what we all in our hearts want the human spirit to be, to fling itself with its utmost power at a job and do it with passion. For my own part, if I was sentenced to hew a thousand tons of coal, I should want to get at it at once and work furiously at it, with the shortest intervals for rest and refreshment and an occasional night holiday, until I hewed my way out, and if some interfering person with a benevolent air wanted to restrict me to hewing five hundredweight, and no more and no less, each day and every day, I should be strongly disposed to go for that benevolent person with my pick. That is surely what every natural man would want to do, and it is only the clumsy imperfection of our social organisation that will not enable a man to do his stint of labour in a few vigorous years and then come up into the sunlight for good and all. It is along that line that I feel a large part of our labour reorganisation, over and beyond that conscription, must ultimately go. The community as a whole would, I believe, get far more out of a man if he had such a comparatively brief passion of toil than if he worked, with occasional lapses into unemployment, drearily all his life. But at present, with our existing system of employment, one cannot arrange so comprehensive a treatment of a man's life. There is needed some State or quasi-public organisation which shall stand between the man and the employer, act as his banker and guarantor, and exact his proper price. Then, with his toil over, he would have an adequate pension and be free to do nothing or anything else as he chose. In a Socialistic order of society, where the State would also be largely the employer, such a method would be, of course, far more easily contrived. The more modern statements of Socialism do not contemplate making the State the sole employer; it is chiefly in transport, mining, fisheries, forestry, the cultivation of the food staples, and the manufacture of a few such articles as bricks and steel, and possibly in housing in what one might call the standardisable industries, that the State is imagined as the direct owner and employer and it is just in these departments that the bulk of the irksome toil is to be found. There remain large regions of more specialised and individualised production that many Socialists nowadays are quite prepared to leave to the freer initiatives of private enterprise. Most of these are occupations involving a greater element of interest, less direction and more co-operation, and it is just here that the success of co-partnery and a sustained life participation becomes possible.... This complete civilised system without a specialised, property-less labour class is not simply a possibility, it is necessary; the whole social movement of the time, the stars in their courses, war against the permanence of the present state of affairs. The alternative to this gigantic effort to rearrange our world is not a continuation of muddling along, but social war. The Syndicalist and his folly will be the avenger of lost opportunities. The industry also involves multiple third parties in order to carry such transactions across borders. With each party getting its own cut, the transaction fees keep on multiplying The Distributed Ledger Technology permits anyone to transfer and receive funds across the world in a matter of minutes. Bitcoin is the most acclaimed proof of this concept. With the help of blockchain technology, the funds are instantly transferred, across borders. The ledger provides a way for unknown people to conduct efficient transactions without the need of any third party. This invariably removes the additional costs and hence lowers the transactional fees implied upon. Digitized Records At present, each bank has its own record keeping. It involves a lengthy process, manual recording, and tedious methods. It has major flaws. Since it is still manual, it is subjected to faulty entries. The centralized ledger of the bank is also susceptible to frauds. The procedure is lengthy and hence the settlement entries might eventually take days. Blockchain technology, or the blockchain ledger, provides an extremely sustainable solution. First and foremost, the ledger records each transactional entry and action. The ledger remains uniform across all the stakeholders. Any transaction or action updated in one copy simultaneously gets updated in all the copies across the platform. The ledger is constantly updated in real time. It also remains immutable- Once recorded, the entries cannot be modified or deleted without other stakeholders noticing. The entries are forever timestamped and can be accessed by anyone who has the permission. The transparent and secured ledgers across banking platforms can help save billions of dollars annually. Credit Systems and Loans Applying blockchain technology to the banking infrastructure has massive outreach in this area of loans and credit. The present traditional system offers loans based on the credit system. The credits (based on assets and past history) of individuals are evaluated by credit bureaus. These centralized bureaus record the individual’s credit history and based on this, gives them an equivalent credit score. This credit score determines whether the individual qualifies for the loan amount, the interest collected on the loan, etc. However, this age-old method of loan approval has its own loopholes. Not every individual has his own credit history, hence making it very difficult for him to get the loan amount. Research suggests that the credit scores evaluated are unjust and it negatively impacts the individual’s capacity to obtain loans. Moreover, centralized credit evaluation bureaus are prone to hacking and fraudulent activities. Even after evaluation checks, the loan default amount continues to rise year after year. The present centralized, biased, inefficient, and ambiguous system of lending is incompetent. Blockchain in banking provides a better evaluating system for sanctioning loans. Blockchain technology enables an integrated system of a global credit score. An ecosystem enveloping a person’s digital identity, the approved assets, past history of payments, legal track record, time frame, tax history- under one system. The blockchain based system of giving global credit score can be transparent, secure and decentralized. The global credit score is based on the documents that are verified and approved by the authorities. This drastically reduces the risk of fraud. Trade Finance Trade Finance ensures that International Trade is carried out swiftly between the exporters and importers. Effective trade finance mitigates risk, prevent frauds, extend credit and help two untrusted enterprises across different borders to carry out productive trade activities. However, the current scenario still relies on predecessor methods. The industry still operates on manual documentation and duplicated copies of the same document. The settlement between banks is lengthy and yet paper-based. Physical letters of credit from one party’s bank to another party’s bank are still often used to ensure that payment will be received. The distributed technology ledger can provide a single truth across the multiple stakeholders. This reduces the amount of paperwork to be generated. Also, there is no need for the constant back and forth between stakeholders in order to pass information. The ledger automatedly ensures that stakeholders are updated with real-time information. Earlier, we discussed how the cross border payments can be made efficient with the help of blockchain technology. However, the story doesn’t end here. One step further, blockchain in banking, powered with smart contracts can turn the most complex trade finance functions into simple effortless techniques. Blockchain will add value to the trade finance industry by ensuring the efficient movement of money as well as goods. Smart contracts are a set of autonomous instructions that are executed when certain predefined conditions are met. In respect to trade finance, such smart contracts can be enforced. This creates a value-based system- one which is focussed on the delivery of money as well as goods. Syndicated Loans The number of Syndicated loans has significantly increased in the past few years. A syndicated loan, also known as a syndicated bank facility, is financing offered by a group of lenders — referred to as a syndicate — who work together to provide funds for a single borrower. The present process is time-consuming with multiple intermediaries including the lead arranger, the syndicate members, organization and banks- at various junctions. The intermediaries like agents charge heavy fees due to the risk as well as administration needed at each checkpoint in the loan process. Much of the work, even today, is done through manual processing. Lack of technological innovation increases the scope for fraudulent activities. However, at the same time, we cannot ignore the fact that it does hold immense potential in the banking sector. The present model of global banking and finance is hardly sustainable. We need to bring more innovation and technological variations in this industry if we want it to sustain for future developments.

Working with an syndicate is a great way to raise money and establish important connections for your company. But not every syndication is successful. Having syndicated 31 deals through our AngelList syndicate, Barbara Corcoran ( ), I would like to share what I have learned about what makes some deals more successful than others. And by “more successful,” I mean that they have generated more interest from our of backers and have therefore raised more money than other deals. AngelList Venture Partners www.Barbara.vc community 1. . Even though a syndicate lead will be asking you a lot of questions to determine if he or she wishes to invest in and syndicate your company, you should also be them to make sure their syndicate is a good fit for you in order to optimize your odds of success. What makes a syndicate a “good fit” for you? Here are criteria to consider: The first step is to identify the right syndicate for you interviewing a. The syndicate is large enough to raise the amount you will be allocating to it. Keep in mind that backers are not obligated to invest — on average, syndicates raise 20%-40% of the aggregate committed amount for any one deal. Ask the syndicate lead how many backers they have, how much money is backing the syndicate and how much they have raised for other companies. b. The syndicate has a portfolio of companies that may be good for you to network with. This is certainly not critical, but a nice benefit. We always look for synergies among our portfolio companies and opportunities for them to work together. c. The syndicate is not dedicated to a certain theme or stage (e.g. “drones” or “pre-IPO”) that is not a fit for you. d. The syndicate backers are well connected and can add value beyond money. e. A syndicate lead with some knowledge of the industry you’re in. f. A syndicate lead who will be a good representative of your company. Since the lead will be representing your company to the AngelList community, you want to feel comfortable that he or she will be a good ambassador. g. A syndicate with a good track record. I suggest reviewing their portfolio of syndicated companies and speaking with the founders of some of those companies to ask if they were happy with the process and if the lead and backers have provided any value after the close. I also suggest asking the lead how many deals they have syndicated unsuccessfully (i.e. didn’t raise enough to close) and why he or she thinks they failed. Ideally, you’d like to work with a syndicate that has successfully syndicated deals for several companies and provides value after the close. 2. . Provide as much information about your product, vision, KPIs, expansion plans, competition (and how you differentiate) and potential exit opportunities. This is a critical component to your success as syndicate backers will make their investment decision based primarily, and often exclusively, on the information contained on your profile page and in your deck. I realize that some companies are concerned about disclosing too much sensitive information in a semi-public forum (even when it will only be viewable by a select group of accredited investors). Work with your syndicate lead to determine a balance between providing enough information to optimize your raise and providing information that could be detrimental to the company if it got into the wrong (i.e. competitor’s) hands. After you have a deal with a syndicate, it is important to make sure that your company’s AngelList profile page and deck are as compelling and thorough as possible 3. In this message, you should introduce yourself, thank them for their support, share a few sentences about what your company does, provide some news about a recent positive development that is not included on the profile page or in the deck and encourage them to contact you directly with any questions. If you will be conducting a webinar for the backers as I suggest (see below), you should also invite them to attend the webinar and provide the day and time and a link to join. Immediately after the syndicate launch for your company, I suggest that you send an introductory message to all of the backers. 4. We have had great success with this and thus require every company we syndicate to host a webinar for our backers. These typically last for one hour with the first half dedicated to a review of the deck and the second half to answering questions from the backers. Be sure to record the webinar so you can send the link to those backers who were unable to attend. I highly recommend that you run a webinar for the backers within a few days of the syndicate launch. 5. Try to provide them with additional information about the company or respond to their concerns in order to enable them to make a more informed judgment about investing. Also, immediately respond to all backers who ask questions. I also suggest sending the link to your webinar recording to all backers who did not attend the webinar. I suggest that you reach out to certain backers and followers, specifically, those who are undecided and who have opted-out. 6. I also strongly recommend that you include requests for assistance from the backers. This could include requests for introductions to potential customers and new hires. You should also consider reaching out to directly the syndicate lead and to certain backers, especially when they have experience in the area you in which you need help. After the syndicate round has closed, you will benefit from sending backers consistent monthly investor reports containing a reasonable level of detail, including KPIs, product updates, expansion plans, new hires, etc. 7. Doing so may not always seem like a good use of your time, but I assure you that strengthening your relationships with backers will pay off in the long run. 7 Steps to a Successful AngelList Syndication

Many people are unfamiliar with how AngelList Syndicates work — what makes them similar and different to working with either individual angels, an “angel group”, or working with a traditional institution. This guide hopes to clarify that for you. Disclaimers Galore Angels “Angels” are what we call people who invest their own money. The SEC puts restrictions around what kind of investments people can make if they’re not rich yet — to keep, say, grandparents from getting tricked out of their retirement savings by a huckster — so most angels need to be rich by . If you meet this bar, the SEC will consider you an . These definitions haven’t changed in a while, but when we talk angels, we’re not talking institutions, we’re talking individuals — humans. With motivations. And there are good and bad motivations to being an angel. the SEC’s bar accredited investor The first thing an investor should ask themselves is what they’re hoping to get out of their investments. If an angel is hoping to “get rich quick”, “help steer an early stage company” or even “get a front row seat into a company’s operations” by angel investing, they’re may well be disappointed with the process. Angels very rarely get special rights, like a Board seat or even observer rights. Angels that try to too aggressively interfere with a company’s operations get a bad name, and for good reason — you’ll likely hurt more than you’ll help. Good angels often have a broad portfolio of companies and act as a passive “service provider”, helping startups when they ask for it. , the “godfather” of Silicon Valley, pioneered this approach, meeting with huge numbers of companies, making quick decisions about investment, investing in a very large number of companies, and generally not asking for control/observation — there was just no way he’d have the time to sit on that many boards! While some derided this as “spray & pray” and prefer to see investment as “smart money” where companies receive both capital and active advice, Ron’s returns speak for themselves. Ron can get access to pretty much any deal because Ron has removed every reasonable objection you might have to taking his money. The returns you’ll realize are going to map to whether you are able to get in on the deals, likely ones where lots of other investors are vying for entry to the deal as well. If you establish a reputation for being helpful and easy to work with, you make it easier to get in on any deal you want. Ron Conway best Now lest I frame passive investors too passively, Ron would move mountains for a portfolio company that had a specific ask of him — even if you’d need to spend the first thirty seconds on a phone call reminding him that you were CEO of a company he invested in. ;) I’ll disclaim that Ron invested in my first company, PBwiki, and was a wonderful supporter. The portfolio approach is important from a returns perspective. It can be very difficult to predict which companies will do really well and which will flounder. A humble “ ” style approach is for an investor to admit they’re probably going to get this wrong a lot and so to have a wide range of bets in the hope that one will be a breakout hit. Investor returns are typically on an extreme power law curve — if one company does really well, it will do so well that it literally won’t matter what happened with any other company in your portfolio. So a good angel investor will seek to build to a portfolio of e.g. 30+ startups. Your probabilistic returns are much higher to make thirty $10k investments versus one $300k investment. Put another way, if your only involvement in angel investment is writing one check, you’re probably going to be disappointed with the outcome and conclude that angel investing isn’t for you. Pace yourself! Allocate a certain yearly budget for investment and seek to regularly make small bets. black swan Another good reason to be an angel investor is that you like meeting with founders, who can teach you about new industries, emerging best practices, and clever approaches to problem solving and teambuilding. Founder energy is fun and infectious and can inspire you. Finally, it’s great to give back. A lot of people in Silicon Valley (maybe most of them!) made it big when others “took a bet” on them and thus they want to “pay it forward” by blessing newcomers with capital, advice, and networking. This is one of the most powerful and poorly held secrets of Silicon Valley; I attribute it to the area’s hippy history. :-) Syndicates , a privately-held company in SF, offers a wide range of services to enable companies, individuals, and angels to connect. Startups can post jobs available, angels can seek companies to invest in, and companies can seek funding. One of the features AngelList has added in the past few years is the ability for an individual well-connected angel to create a syndicate to allow other angels access to deals the lead is participating in, on the same terms. Angel participants can “soft commit” to seriously consider funding companies alongside these influential angels. This has interesting follow-on effects: startups now have more motivation to meet with these “super angel” syndicate leads since they represent a collective of investors, which means these syndicates get more and better deal flow than they would as an unorganized group of individual investors. Over time, the size of such a syndicate may give an individual angel decision-making power equivalent to a traditional small venture capital firm with almost none of the typical investment overhead of a fund. Let’s walk through the math. AngelList If I wanted to be a syndicate lead, I’d announce “I’m planning on investing $10,000 of my own money in 3–4 companies a year”. I might find thirty friends who are each willing to tentatively commit to putting in $10,000 of their own money into such deals on the same terms as me. Now I’ve got $10k of my own money with $300k of other people’s money that I can offer for investment in a company. This obviously makes it much more interesting for a company to meet with me versus if I could have only cut them a $10k check. For those of you paying attention, you’ll note that the $300k is only committed. In reality, only ~60% of syndicate backers will actually close on a deal. So with $300k in syndicate backing, I can reasonably expect to offer $180k in funding to a company. tentatively When the syndicate lead finds a specific deal that they’re excited about, they agree on the terms of investment with the startup (“leading” the deal) or they join other investors who are investing in the company at the same time, on the same terms (“following”). They indicate the deal to AngelList, which triggers some AL folks reaching out to both the syndicate lead and startup to confirm terms and help the startup get their AngelList page into proper shape to “launch” the deal. Once the deal has been approved for launch by AngelList, it’s up to the syndicate lead to publicize. The lead then writes up why they were interested in this particular company and shares those thoughts and data confidentially with syndicate participants. Participating angels in the syndicate can then review the deal and decide if they would like to opt-in to the deal. An individual syndicate deal can only have up to 99 accredited investors participate; if 100 or more investors want to join, it will be up to the syndicate lead who they want to allow into the deal. Typically investors who choose to “pre-fund” their syndicate participation are first in line; these investors have to actively opt-out of deals. They’re followed by investors willing to invest larger amounts, e.g. $10k vs $5k, then everyone else. With the deal launched, AngelList sets up an escrow into which syndicate participants can ACH transfer or wire their funds, and collects electronic signatures from the startup, syndicate lead, and syndicate participants. AngelList charges a fixed $8k for the deal to manage all of the backoffice. So if in the above example there was a $180k syndicate raise, $8k of that would get paid to AngelList and $172k would be wired to the startup. AngelList creates a new Delaware LLC as a single-purpose corporate vehicle to make and manage the investment. The name of this LLC is typically a jumbled combo of the name of the syndicate and the name of the startup being invested in; in the case of ’s investment in , for instance, the entity created was called “AngelList-Prav-Fund, a series of AngelList-DrVc-Funds, LLC”. Yeah, that’s a mouthful. To make things even more fun, AngelList actually outsources the management of these LLCs to a company called . drone.vc PRENAV Assure Fund Management From the startup’s perspective it’s pretty good, since they only get new shareholders on their cap table; the syndicate lead, who makes their investment directly as an individual, and the LLC. So PRENAV got “David E. Weekly” as a shareholder as well as the above mouthful of an LLC. Because there is meaningful ongoing backoffice work that needs to be done for every shareholder a company has, minimizing cap table entries is a great time and money saver for startups. two Most of the deals I see use pretty vanilla terms: a (equity), a , or otherwise templated convertible notes (debt) with a clear cap and discount. I’ve heard a few stories of early stage investors being pretty badly abused with a SAFE note, so I’m gently nudging people towards using Series Seed, since it’s pretty easy for the startup and offers investors the safety of actual equity. Series Seed SAFE note The deal is only live for a fixed period of time, typically 20-30 days. This gives the lead enough time to discuss the deal with participants, gives investors a chance to ask questions (or come back from vacation!) and to wire their money in. I’ll note that for most deals, you’ll know within four days of launch about how well the deal will do. Here below are three real deals I closed with drone.vc. Note that committed capital can dip week to week if a prefunded investor chooses to opt out. Something to be aware of: AngelList has syndicate amplification funds like Maiden Lane and CSC Upshot that can further financially amplify a syndicated deal with significant traction. Typically these funds will make a go/no-go decision on investment in a few days. They are looking for deals that have strong “signal”, meaning several notable investors or firms are already participating in the deal beyond the syndicate. So a deal led by a syndicate with only syndicate members participating is unlikely to be able to access these funds. If the fund does decide to participate in a deal, they’ll come in at the same terms, through the syndicate vehicle. If you’re a syndicate lead, you’ll need to not only hype a company but also candidly disclose potential risks. It’s really important to do this thoroughly; if it can be shown that you knew about certain material risks to a startup’s success and didn’t disclose them to fellow investors, you could end up in hot water. Finally, you’ll need to disclose any variations — if the startup is actually run by your brother, if you have been given advisory shares, if you’re already a shareholder, if you’re getting a different deal than syndicate participants, etc. Needless to say, it’s best if your deal has no variations. Carry So far, so good, but you might ask what’s in it for the syndicate lead other than getting better deal exposure and getting to help their friends? A syndicate lead isn’t paid a penny of the $8k that goes to AngelList. Indeed, the only movement regarding their bank account is the outbound money being invested in the startup! The payout to a syndicate lead happens when a company invested in by the syndicate has a (e.g. someone buys the company or the company goes public). At this point, the shares held by the LLC get exchanged for cash. The cash that investors put in is returned to them and money returned to the LLC beyond funds invested is then called , which is basically the profit off of the investment. Of the carry, AngelList takes 5% and typically syndicate leads take around 15%. The total amount, e.g. 20%, is listed clearly on a syndicate’s page when investors sign up to the syndicate or a syndicated deal. liquidity event carry Thanks for reading this guide to AngelList Syndicates! The Mechanics of AngelList Syndicates

Content syndication is essentially when you give your content away to someone else to use and promote while you retain the full copyrights for the sole purpose of driving traffic or conversions to your site. A popular content syndication technique is cross-posting blog posts to sites like Medium, Quora, or LinkedIn with a tagline at the bottom such as, “This post first appeared on ___.” Conversely, publishers like Fortune & Huffington Post will grab content from Quora to use in their articles & essays. On a more tactical level, if you are scratching your head about campaigns, paid content syndication networks are worth a closer look. demand generation Content syndication networks operate by hosting your content like eBooks, white papers, or other assets on their own site and libraries and leveraging their existing network and reach to drive people to those assets. Targeting your content syndication for success Content syndication isn’t automatically flowers and rainbows. It’s extremely important to have very tight targeting for content syndication networks (like any other marketing campaigns) otherwise, you run the risk of inflating your CAC (Customer Acquisition Cost) while not really scaling your LTV (Lifetime Value). You can set up your targeting to be generalized or explicit. To some degree, you can make an assumption that a certain type of content will be geared towards a certain type of lead you want to acquire. Examples of generalized targeting: eBook about Email Marketing will attract someone who is in a marketing role but variable company size. eBook about Sales Operations will lean towards mid-large sized companies since they’re probably at the stage where they have that type of role. eBook on Marketing Automation would be of interest to B2B companies as opposed to B2C. Case Study on a specific industry would narrow down your audience to that industry. But you should otherwise, you will end up sending non-qualified inbound leads to your sales team and see the effects trickle down the funnel from SQLs to Opps to close. explicitly define your target audience with your vendor Examples of explicit targeting: Company size of 100–5000 companies. Company size is also a great proxy for revenue if you don’t ask that question in the form. according to your . This will help you map and segment the leads into the various buckets in your database and set up campaigns accordingly. The caveat here being that you also need to keep in mind the site/publisher you are using to syndicating the content. If you’re placing your content on niche site/publisher like MarketingProfs then highly likely that the audience will be marketing related interested in the content marketing. In those cases, it might be a better idea to filter against other criteria like specific challenges they have or tools they use. Define the job titles or departments buyer personas Check your historical data, does the industry correlate to the close rate? Find out which ones. You can always keep it open but ask them to prioritize those from the leads that come in. Targeting can get as defined or as broad as it can go. However, it’s important to note that most publishers will charge extra for ‘custom questions’. These custom questions add to the CPL (cost per lead) for the campaign since the publisher will be scrubbing the unqualified ones on your behalf, so it’s best to use them very sparingly. Working with content syndication networks & publishers In most cases the publishers will host and gate the content on their side, which means you will not have control over the branding of the context your content resides in. Otherwise, it’ll both effect the conversion and the follow-up nurture/sales programs as they go through your funnel. It’s very important to ensure you get proofs from the publisher to make sure your logo is visible and the abstract looks good. In some cases, the publisher can host the image/abstract of the content on their side and link back to your or landing page for the qualification and conversion. It’s worth noting that not all publishers offer this so it’s important to discuss the flow before hand. Content Hub Once everything is set up, the publishers will drive demand and traffic by distributing the content to their subscribers and properties. This can involve email, paid, partner sites, and communities via LinkedIn. As the visitors come and convert on your content, the publishers will collect and scrub the leads and send you a lead file in the form of a spreadsheet. Lead file delivery is typically weekly but in some cases, you can also set up an integration with the publisher’s back-end system to directly sync any scrubbed leads into your Marketing Automation or CRM. Pricing In terms of pricing, it boils down to a run on a cost-per-lead basis. Most content syndication , which means that every time someone fills out a form to view/download your content and they meet the targeting parameters you’ve set with the publishers, you will be charged. publishers will have a range between $20–$80 CPL It’s worth noting that most publishers do have a minimum spend or term requirement, so you’ll need to either commit to spending a minimum amount or signing up for a 3–6-month campaign duration. However, you can control your spend by capping the lead volumes on a monthly basis. Most, if not all, publishers also accept returns if the lead does not meet your targeting parameters at no extra cost within 30 days of delivery. If they are not converting well to MQL, SQL or Opps, you may have the wrong targeting parameters in place. They are CPL campaigns. Before you upload the lists, is correct and mapped correctly to your contact fields. double check the data for the publisher name/asset name and dates so there’s a record of all the leads that were generated from the channels Create separate custom fields Check how these new leads progress through the funnel and always keep an eye out for any leads that don’t meet your filters. They always creep through by mistake! Optimize! As with all marketing, you keep testing, measuring, and iterating.
